When was SPS Commerce incorporated?

We were originally incorporated as St. Paul Software, Inc., a Minnesota corporation, on January 28, 1987. On May 30, 2001 we reincorporated in Delaware under our current name, SPS Commerce, Inc.

When did SPS Commerce go public?

SPS Commerce went public on April 22, 2010.

Has SPS Commerce ever had a stock split?

Yes, on April 13, 2010 SPS Commerce completed a 0.267-for-1 reverse stock split in connection with its initial public offering.

On August 22, 2019 SPS Commerce conducted a 2-for-1 stock split.  As a result, each shareholder received one additional share of SPS stock for each share held on August 8, 2019, the record date.  On August 23, 2019, SPS Commerce stock began trading on Nasdaq at the new split-adjusted price (ex-dividend), and all historical prices were adjusted to account for the stock split.

The stock split should not be a taxable event to U.S. Federal taxpayers. Shareholders should consult with their personal tax advisor regarding their specific tax circumstances if you have any questions or concerns.  Form 8937, Report of Organizational Actions Affecting Basis of Securities, can be found here.

If you hold your shares through a brokerage account, your broker will have automatically received the split shares from our transfer agent and your account will have been credited appropriately. If you are a registered stockholder, our transfer agent will have credited your account and sent notification of the split to you directly.
